1. Overview

Please read these official rules (the “Official Rules”) carefully. They contain important information about your rights and obligations, as well as limitations and exclusions that may apply to you if you enter the LEDVANCE You Deserve Better Sweepstakes (the “Sweepstakes”) sponsored by LEDVANCE LLC., (the “Sponsor”). Only proprietors or employees of licensed contractor companies (under applicable provincial, state, or municipal authority) who otherwise meet the Sweepstakes eligibility requirements (see Rule 3 of these Official Rules) are eligible to enter the Sweepstakes.

By participating in the Sweepstakes, you confirm your agreement to these Official Rules and the decisions of the Sponsor and RAVEN5 Ltd. (the “Administrator”). If you do not agree to the Sweepstakes Official Rules, you may not enter the Promotion.

2. Sweepstakes Period

The Sweepstakes begins at 12:00:01 AM Eastern Daylight Time (“EDT”) on June 2, 2022 and ends at 11:59:59 PM Eastern Standard Time (“EST”) on December 21, 2022 (the “Sweepstakes Period”). Administrator’s computer is the official time-keeping device for this Sweepstakes.

The Sweepstakes Period consists of two (2) bi-monthly entry periods (each, a “Bi-monthly Entry Period”) and a grand prize entry period (the “Grand Prize Entry Period”) as described below.

Entry Period - Bi-Monthly Entry Period 1: June 2, 2022 at 12:00:01 AM EDT to August 30, 2022 at 11:59:59 PM EST. Approximate winner selection date: August 31, 2022.

Entry Period - Bi-Monthly Entry Period 2: August 31, 2022 at 12:00:01 AM EDT to December 21, 2022 at 11:59:59 PM EST. Approximate winner selection date: January 4, 2023.

Entry Period - Grand Prize Entry Period : June 2, 2022 at 12:00:01 AM EDT to December 21, 2022 at 11:59:59 PM EST. Approximate winner selection date: January 4, 2023.

Eligible entries will carry forward into subsequent Entry Periods, if any.

3. Eligibility

The Sweepstakes is open only to proprietors or employees of a licensed contracting company (under applicable provincial, state or municipal authority) who are legal residents of Canada, the 50 United States or the District of Columbia who are 19 years of age or older at the time of entry (“Participant” or “entrant”, or “you”). This sweepstakes is not open to the general public.

Employees, representatives, or agents of Sponsor, Administrator and their respective parents, affiliates, subsidiaries and advertising and promotion agencies (collectively the “Sweepstakes Parties”), and all respective employees, shareholders, officers, directors, agents, members, licensees, successors and assigns of the foregoing (collectively, the “Released Parties”) and members of their immediate family (spouses, parents, children and siblings) or persons living in the same household are not eligible to participate in this Sweepstakes.

Sweepstakes is subject to all applicable federal, state, provincial, municipal, territorial, and local laws and regulations. If it is found that a person who does not meet the eligibility criteria set forth in these rules has submitted an entry, that entry will be deemed ineligible. Sponsor reserves the right to verify eligibility requirements. Participation in the Sweepstakes constitutes your full and unconditional agreement to these Sweepstakes Official Rules and Sponsor’s decisions, which are final and binding in all matters related to the Sweepstakes. Winning a prize is contingent upon fulfilling all requirements set forth herein. Void outside of Canada, the 50 United States or the District of Columbia and wherever else prohibited by law.

4. How to Enter the Sweepstakes

No purchase necessary. Making a purchase will not increase your chances of winning.

To enter the sweepstakes, visit http://www.youdeservebetter-ledvance.com/ (the “Sweepstakes Website”) during the Sweepstakes Period and follow the instructions to complete and submit the online entry form by providing your email address, first name, last name, job title, company name, mobile phone number (optional) and postal code. In addition, you must check the box confirming that you are a contractor, and check the box confirming that you have read and agree to these Sweepstakes Official Rules and the Sponsor’s Privacy Policy to earn one (1) entry into the Sweepstakes (an “Opt-In Entry”). Limit of one (1) Opt-In Entry per person during the Sweepstakes Period.

Survey Entry: Once the online entry form has been completed, you may answer the three (3) survey questions to earn one (1) entry into the Sweepstakes (the “Survey Entry”). Limit of one (1) Survey Entry per person during the Sweepstakes Period.

Share Entries: Once the online entry form has been completed, you may share the Sweepstakes on Twitter, LinkedIn or by email. You will earn one (1) entry into the Sweepstakes for sharing to Twitter, one (1) Entry into the Sweepstakes for sharing to LinkedIn and one (1) Entry into the Sweepstakes for sharing via email (each, a “Share Entry”).

Limit of one (1) Share Entry for sharing to Twitter, one (1) Share Entry for sharing to LinkedIn and one (1) Share Entry for sharing by email, for a total of three (3) Share Entries per person during the Sweepstakes Period.

Follow Entries: Once the online entry form has been completed, you may follow LEDVANCE on Facebook (ttps://www.facebook.com/SYLVANIA), Instagram (https://www.instagram.com/SYLWANIA) and/or LinkedIn (https://www.linkedin.com/company/ledvance/). You will earn one (1) entry into the Sweepstakes for following LEDVANCE on Facebook, one (1) entry into the Sweepstakes for following LEDVANCE on Instagram, and one (1) entry into the Sweepstakes for following LEDVANCE on LinkedIn (each, a “Follow Entry”).

Limit of one (1) Follow Entry for following LEDVANCE on Facebook, one (1) Follow Entry for following LEDVANCE on Instagram, and one (1) Follow Entry for following LEDVANCE on LinkedIn, for a limit of three (3) Follow Entries.

Invoice Upload Entries: Take a photo of an itemized invoice from any LEDVANCE authorized distributor, partner or wholesaler that includes the purchase of an eligible LEDVANCE product (or multiple eligible LEDVANCE products) equaling $350.00 CAD or more (each, an “Eligible Invoice”) and follow the online instructions to complete the Invoice Upload form by selecting the distributor name from the dropdown selector, providing the distributor address, date of purchase, pre-tax subtotal of all LEDVANCE products and uploading the Eligible Invoice. You will have the opportunity to set a password that will allow you to quickly login to your account next time you visit the Sweepstakes Website to submit more Invoice Upload entries. Next, click the “UPLOAD” button to earn additional entries into the Sweepstakes.

You will earn three (3) entries into the Sweepstakes (each, an “Invoice Upload Entry”) per Eligible Invoice uploaded with a pre-tax subtotal of $350.00 - $999.99. You will earn six (6) Invoice Upload Entries into the Sweepstakes per Eligible Invoice uploaded with a pre-tax subtotal of $1,000.00 or more. The pre-tax subtotals listed above are in Canadian dollars for participants residing in Canada and in United States dollars for participants residing in the 50 United States or the District of Columbia. Participants may earn unlimited Invoice Upload Entries during the Sweepstakes Period.

Mail-in Entry (Free Method of Entry): Handprint your email address, first name, last name, job title, company name, postal code and phone number, and the words: LEDVANCE You Deserve Better Sweepstakes followed by a hand-written 150-word unique and original essay on “Why I choose LEDVANCE products”, on a 3” x 5” piece of paper and mail it in a stamped #10 envelope to: LEDVANCE You Deserve Better Sweepstakes c/o RAVEN5, B9-461 North Service Road W., Oakville, Ontario, Canada, L6M 2V5 to receive one (1) entry into the Sweepstakes (each, a “Mail-in Entry Entry”).

Limit: one (1) Mail-In Entry per postmarked envelope. All Mail-in Entries must be handwritten and must be postmarked by December 21, 2022 and received by January 3, 2023. No mechanical reproductions of entries will be permitted. All Mail-in Entries become the exclusive property of Sponsor and will not be acknowledged or returned. Proof of sending or submission will not be deemed to be proof of receipt by Sponsor. Sponsor is not responsible for lost, late, incomplete, invalid, unintelligible, illegible, misdirected or postage-due entries, which will be disqualified. Participants may earn unlimited Mail-In Entries during the Sweepstakes Period.

5. Prizes/Approximate Retail Value (“ARV”)/Odds

There are two (2) grand prizes, sixty (60) bi-monthly first prizes, ten (10) bi-monthly second prizes, and one hundred twenty (120) bi-monthly third prizes available to be won.

Grand Prizes: There are two (2) Grand Prizes available to be won, allocated as follows:

Grand Prize for residents of Canada: One (1) Grand Prize is available to be won by residents of Canada (the “CA Grand Prize”), consisting of one (1) $2,000.00 (CAD) Visa gift card, one (1) YETI Tundra® 35 Hard Cooler, and one (1) LEDVANCE Sylvania 60W LED Work Light w/ 15.5-ft Cord, 175W HID Retrofit, 7500 lm, 120V, 5000K. The ARV of CA Grand Prize is $2,525.00 CAD / 1,954.00 USD.

Grand Prize for residents of the 50 United States and the District of Columbia: One (1) Grand Prize is available to be won by residents of the 50 United States and the District of Columbia (the “US Grand Prize”), consisting of one (1) $2,000.00 (USD) Visa gift card, one (1) YETI Tundra® 35 Hard Cooler, and one (1) LEDVANCE Sylvania 60W LED Work Light w/ 15.5-ft Cord, 175W HID Retrofit, 7500 lm, 120V, 5000K. The ARV of US Grand Prize is $3,321.00 CAD / $2,576.00 USD.

The total ARV of all Grand Prizes is $5,846.00 CAD / $4,530.00 USD.

Bi-Monthly First Prizes: There are sixty (60) Bi-Monthly First Prizes available to be won, allocated as follows:

Bi-Monthly First Prizes for residents of Canada: Ten (10) Bi-Monthly First Prizes are available to be won by residents of Canada, each consisting of a $50 (CAD) gift card (each, a “CA Bi-Monthly First Prize”). The ARV of each CA Bi-Monthly First Prize is $50.00 CAD / $39.00 USD.

Bi-Monthly First Prizes for residents of the 50 United States and the District of Columbia: Fifty (50) Bi-Monthly First Prizes are available to be won by residents of the 50 United States and the District of Columbia, each consisting of a $50 (USD) gift card (each, a “US Bi-Monthly First Prize”). The ARV of each US Bi-Monthly First Prize is $64.00 CAD / $50.00 USD.

The total ARV of all Bi-Monthly First Prizes is $3,700.00 CAD / $2,890.00 USD.

Bi-Monthly Second Prizes: There are ten (10) Bi-Monthly Second Prizes available to be won, allocated as follows:

Bi-Monthly Second Prizes for residents of Canada: Five (5) Bi-Monthly Second Prizes are available to be won by residents of Canada, each consisting of a YETI Tundra 35 Hard Cooler (each, a “CA Bi-Monthly Second Prize”). The ARV of each CA Bi-Monthly Second Prize is $375.00 CAD / $293.00 USD.

Bi-Monthly Second Prizes for residents of the 50 United States and the District of Columbia: Five (5) Bi-Monthly Second Prizes are available to be won by residents of Canada, each consisting of a YETI Tundra 35 Hard Cooler (each, a “US Bi-Monthly Second Prize”). The ARV of each US Bi-Monthly Second Prize is $375.00 CAD / $293.00 USD.

The total ARV of all Bi-Monthly Second Prizes is $3,750.00 CAD / $2,930 USD.

Bi-Monthly Third Prizes: There are one hundred twenty (120) Bi-Monthly Third Prizes available to be won, allocated as follows:

Bi-Monthly Third Prizes for residents of Canada: Twenty (20) Bi-Monthly Third Prizes are available to be won by residents of Canada, each consisting of a LEDVANCE Sylvania 60W LED Work Light w/ 15.5-ft Cord, 175W HID Retrofit, 7500 lm, 120V, 5000K (each, a “CA Bi-Monthly Third Prize”). The ARV of each CA Bi-Monthly Third Prize is $150 CAD / $120 USD.

Bi-Monthly Third Prizes for residents of the 50 United States and the District of Columbia: One hundred (100) Bi-Monthly Third Prizes are available to be won by residents of the 50 United States and the District of Columbia, each consisting of a LEDVANCE Sylvania 60W LED Work Light w/ 15.5-ft Cord, 175W HID Retrofit, 7500 lm, 120V, 5000K (each, a “US Bi-Monthly Third Prize”). The ARV of each US Bi-Monthly Third Prize is $150 CAD / $120 USD.

The total ARV of all Bi-Monthly Third Prizes is $18,000.00 CAD / $14,400.00 USD.

The total ARV of all prizes available is $31,296.00 CAD / $24,750.00 USD.

6. Random Drawings, Early Bird Winner Selections and Winner Notification

All potential winners will be selected in random drawings conducted at the offices of the Administrator, whose decisions are final.

Grand Prizes

(i) One (1) potential CA Grand Prize winner will be selected from among all eligible entries received by residents of Canada during the Grand Prize Entry Period on or about January 4, 2023.

(ii) One (1) potential US Grand Prize winner will be selected from among all eligible entries received by residents of the 50 United States and the District of Columbia during the Grand Prize Entry Period on or about January 4, 2023.

The potential Grand Prize winners will be notified by a designated representative of the Sponsor using the email and/or phone number provided at the time of entry. The designated representative will make a minimum of two (2) attempts to contact the eligible selected entrant within seventy-two (72) hours of the applicable drawing.

Bi-Monthly First Prizes

Bi-Monthly Entry Period 1:

(i) Five (5) potential CA Bi-Monthly First Prize winners will be selected from among all eligible entries received by residents of Canada during Bi-Monthly Entry Period 1 on or about August 31, 2022.

(ii) Twenty-five (25) potential US Bi-Monthly First Prize winners will be selected from among all eligible entries received by residents of the 50 United States and the District of Columbia during Bi-Monthly Entry Period 1 on or about August 31, 2022.

Bi-Monthly Entry Period 2:

(i) Five (5) potential CA Bi-Monthly First Prize winners will be selected from among all eligible entries received by residents of Canada during Bi-Monthly Entry Period 2 on or about January 4, 2023.

The potential Bi-Monthly First Prize winners will be notified by a designated representative of the Sponsor using the email and/or phone number provided at the time of entry. The designated representative will make a minimum of two (2) attempts to contact the eligible selected entrant within seventy-two (72) hours of the applicable drawing.

Bi-Monthly Second Prizes

Bi-Monthly Entry Period 1:

(i) Three (3) potential CA Bi-Monthly Second Prize winners will be selected from among all eligible entries received by residents of Canada during Bi-Monthly Entry Period 1 on or about August 31, 2022.

(ii) Three (3) potential US Bi-Monthly Second Prize winners will be selected from among all eligible entries received by residents of the 50 United States and the District of Columbia during Bi-Monthly Entry Period 1 on or about August 31, 2022.

Bi-Monthly Entry Period 2:

(i) Two (2) potential CA Bi-Monthly Second Prize winners will be selected from among all eligible entries received by residents of Canada during Bi-Monthly Entry Period 1 on or about January 4, 2023.

(ii) Two (2) potential US Bi-Monthly Second Prize winners will be selected from among all eligible entries received by residents of the 50 United States and the District of Columbia during Bi-Monthly Entry Period 1 on or about January 4, 2023.

The potential Bi-Monthly Second Prize winners will be notified by a designated representative of the Sponsor using the email and/or phone number provided at the time of entry. The designated representative will make a minimum of two (2) attempts to contact the eligible selected entrant within seventy-two (72) hours of the applicable drawing.

Bi-Monthly Third Prizes

Bi-Monthly Entry Period 1:

(i) Ten (10) potential CA Bi-Monthly Third Prize winners will be selected from among all eligible entries received by residents of Canada during Bi-Monthly Entry Period 1 on or about August 31, 2022.

(ii) Fifty (50) potential US Bi-Monthly Third Prize winners will be selected from among all eligible entries received by residents of the 50 United States and the District of Columbia during Bi-Monthly Entry Period 1 on or about August 31, 2022.

Bi-Monthly Entry Period 2:

(i) Ten (10) potential CA Bi-Monthly Third Prize winners will be selected from among all eligible entries received by residents of Canada during Bi-Monthly Entry Period 2 on or about January 4, 2023.

(ii) Fifty (50) potential US Third Prize winners will be selected from among all eligible entries received by residents of the 50 United States and the District of Columbia during Bi-Monthly Entry Period 2 on or about January 4, 2023.

The potential Bi-Monthly Third Prize winners will be notified by a designated representative of the Sponsor using the email and/or phone number provided at the time of entry. The designated representative will make a minimum of two (2) attempts to contact the eligible selected entrant within seventy-two (72) hours of the applicable drawing.

If any eligible selected entrant cannot be contacted within seventy-two (72) hours of notification, if the prize is declined, or if there is a return of any notification as undeliverable; then the eligible selected entrant may, in the sole and absolute discretion of the Sponsor, be disqualified (and, if disqualified, will forfeit any and all rights to the prize) and the Sponsor reserves the right, in its sole and absolute discretion to randomly select an alternate eligible entrant for the prize in a separate random drawing from the remaining eligible entries submitted and received in accordance with these Official Rules.

No one is a winner unless and until officially confirmed by the Sponsor in accordance with these Official Rules.

Additional Requirements to Win: Potential winners will become confirmed winners (each, a “Winner”), after meeting the requirements that follow. Failure to do so will result in disqualification and an alternate winner may be selected by the means set forth above. Potential winners will be required to sign and return, within seventy-two (72) hours of notification, an Affidavit of Eligibility & Liability, and where allowable, a Publicity Release.

Potential winners residing in Canada will also be required to correctly answer a time-limited mathematical skill-testing question without assistance, whether mechanical or otherwise, as a condition of acceptance of any prize.

The potential Grand Prize winner residing in the 50 United States and the District of Columbia will be required to sign and return, within seventy-two (72) hours of notification an IRS W-9 form which will require you to provide us with additional personal information, including your social security number. We will only use information from the W-9 form to fulfill our tax obligations in connection with these Sweepstakes and for no other purpose.

Non-compliance will result in disqualification and an alternate winner may be selected in accordance with these Official Rules.

Prizes will be awarded within approximately 60 days after each Winner has been confirmed.

Prizes are not assignable, nor transferable. No substitution is permitted except if a prize is unavailable, in which case a prize of equal or greater value will be awarded. No cash in lieu of a prize and no exchange or substitution of prizes, except at the sole discretion of the Sponsor. Any other incidental expenses on a prize not specified herein are each Winner’s sole responsibility.

Except where prohibited by law, entry and acceptance of any prize constitutes permission for the Sponsor and its designees to use each Winner’s name, likeness, voice, photographs, biographical information, comments and other statements as well as his/her company name and address, prize description, company city, company province/territory, for purposes of advertising, promotion and publicity (including online posting) in any and all media now or hereafter known throughout the world in perpetuity, without additional compensation, notification or permission.

7. General

Participants agree to these Official Rules and the decisions of the Sweepstakes Parties and release the Sponsor and the Released Parties, from any and all claims and liability relating to their participation in the promotion, and the acceptance and use/misuse of a prize. Winners assume all liability for any injury or damage caused or claimed to be caused, by participation in the Sweepstakes or use/misuse or redemption of any prize. Winners also acknowledge that Released Parties have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, relative to any prize. Sponsor is not responsible for any typographical or other error in the printing of the offer, administration of the Sweepstakes or in the announcement of prizes. Sponsor is not responsible for incompatibility of Participants’ hardware, software or browser technology.

In the event of a dispute over the identity of a Participant, the entry will be deemed submitted by the "Authorized Account Holder" of the e-mail address submitted at time of entry. Authorized Account Holder means the natural person who is assigned to an e-mail address by an Internet access provider, online service provider, or other organization that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. Sponsor may ask any Participant or potential winner to provide Sponsor with proof that such party is the Authorized Account Holder of the email address associated with the entry. Entry materials/data that have been tampered with or altered, or mass entries or entries generated by a script, macro or use of automated devices are void.

The Released Parties are not responsible for: (i) lost, late, misdirected, damaged or illegible entries; or (ii) error, omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alterations of entry materials, or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions of any kind, or inaccurate transmission of or failure to receive entry information by Sponsor on account of technical problems or traffic congestion on the Internet or at any website or any combination thereof; or (iii) any injury or damage to Participant's or any other person's computer related to or resulting from participating in the Sweepstakes. By participating in the Sweepstakes, you (i) agree to be bound by these Official Rules, including all eligibility requirements, and (ii) agree to be bound by the decisions of Sponsor, which are final and binding in all matters relating to the Sweepstakes. Failure to comply with these Official Rules may result in disqualification from the Promotion. Sponsor reserves the right to: (i) permanently disqualify from any Sweepstakes it sponsors any person it believes has intentionally violated these Official Rules; and (ii) withdraw a method of entry if it becomes technically corrupted (including if a computer virus or system malfunction inalterably impairs its ability to conduct the Sweepstakes).

If for any reason this Sweepstakes is not capable of running as planned due to an infection by a computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Sponsor which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Promotion, the Sponsor reserves the right at its sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the Sweepstakes, at which time, Sponsor will conduct a random drawing from among all eligible entries

LEGAL WARNING: ANY ATTEMPT BY AN INDIVIDUAL, WHETHER OR NOT A PARTICIPANT, TO DELIBERATELY DAMAGE, DESTROY, TAMPER WITH OR VANDALIZE THE WEBSITE OR INTERFERE WITH THE OPERATION OF THE SWEEPSTAKES, IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND DILIGENTLY PURSUE ALL REMEDIES AGAINST ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW. SPONSOR’S FAILURE TO ENFORCE ANY TERM OF THESE OFFICIAL RULES SHALL NOT CONSTITUTE A WAIVER OF THAT PROVISION.

8. Disputes

Except where prohibited, Participants agree that any and all disputes, claims and causes of action arising out of, or connected with, the Sweepstakes or the Prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in the Province of Ontario. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, Participant’s rights and obligations, or the rights and obligations of the Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the Province of Ontario without giving effect to any choice of law or conflict of law rules (whether of the Province of Ontario or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the Province of Ontario. The remedy for any claim shall be limited to actual damages, and in no event shall any party be entitled to recover punitive, exemplary, consequential, or incidental damages, including attorney’s fees or other such related costs of bringing a claim, or to rescind this agreement or seek injunctive or any other equitable relief. THE PARTIES HEREBY WAIVE THEIR RIGHT TO JURY TRIAL WITH RESPECT TO ALL CLAIMS AND ISSUES ARISING OUT OF OR RELATING TO THIS SWEEPSTAKES WHETHER SOUNDING IN CONTRACT OR TORT AND INCLUDING ANY CLAIM FOR FRAUDULENT INDUCEMENT THEREOF.

9. Privacy

Personal information collected from Participants is subject to the Sponsor’s Privacy Policy, which can be found at https://www.ledvance.com/professional/company/about-ledvance/privacy-policy.

10. Help Requests / Requests for Information

Please direct your requests to the Administrator. Submit your request by email to ledvance@rvn5.com. Please identify yourself by providing your full name, and email address you used when registering for the Sweepstakes and explain the request in as much detail as possible. Administrator will carefully review and assess each request and respond within three (3) business days.

For a written confirmation of the winners, send an email to ledvance@rvn5.com by February 28, 2023 with subject line: LEDVANCE You Deserve Better Sweepstakes Winners List Request.
